Clear Street Launches Platform for Pre-IPO Access to Databricks
Fintech brokerage Clear Street is preparing to launch a new investment platform that will give accredited investors access to shares in some of the world's most valuable private technology companies before they go public, beginning with AI software company Databricks.
The platform will debut with investment opportunities linked to Databricks, which was recently valued at $188 billion, making it one of the world's most valuable privately held artificial intelligence companies. Clear Street plans to expand the offering to as many as 30 late-stage private companies by the end of 2026.
The move reflects growing investor demand for access to high-growth private companies that are choosing to remain private for longer, allowing much of their value creation to occur before an initial public offering.
"Our goal is to remove friction and give more investors access to opportunities that have traditionally been limited to a small group of institutional players," Clear Street Chief Executive Officer and co-founder Uri Cohen said.
Platform Targets Late-Stage Private Companies
According to the company, the platform will primarily feature technology businesses valued between $5 billion and $20 billion that are expected to be within six months to two years of pursuing an IPO.
In addition to investment access, Clear Street will launch a dedicated private-company research division led by equity analyst Owen Lau, aiming to provide investors with institutional-grade research and greater transparency in the private market.
The initiative mirrors a broader trend on Wall Street, where financial firms are expanding private-market offerings as wealthy investors seek earlier exposure to rapidly growing AI and technology companies.
Investors Will Buy Through Investment Vehicles
Rather than purchasing Databricks shares directly, investors will acquire interests in special purpose vehicles (SPVs) that hold stakes in third-party investment funds owning the underlying shares.
Under this structure, Databricks itself will not recognize investors as direct shareholders, with ownership remaining legally recorded through the external investment fund.
A Databricks spokesperson said the company has no commercial relationship or involvement with Clear Street's investment platform.
Earlier this year, several leading AI startups tightened restrictions on unauthorized secondary share transactions, increasing scrutiny of indirect investment structures used in private markets.
Clear Street said it will assume the transaction risk associated with the investment vehicles offered through its platform.
Wall Street Expands Private Market Offerings
The launch comes as competition intensifies among financial institutions seeking to capitalize on growing demand for private-company investments.
Large investment banks and brokerages have increasingly expanded offerings that provide affluent investors with exposure to high-profile startups before their public listings, particularly in the artificial intelligence sector.
Companies including Databricks, Anthropic and OpenAI have attracted significant investor interest as AI adoption continues to accelerate globally.
Clear Street Eyes 2027 IPO
The expansion also represents a strategic step for Clear Street itself.
The fintech brokerage, which was valued at nearly $12 billion in a private funding round earlier this year, postponed its own initial public offering in February due to volatile market conditions affecting financial technology companies.
Despite delaying its listing, the company recently strengthened its balance sheet by raising $400 million through an investment-grade bond offering, providing additional capital to support the growth of its private-market business.
Company executives said Clear Street remains financially strong and could revisit plans for a public listing in 2027, subject to market conditions.
The firm's latest initiative underscores the rapid evolution of private capital markets, where investors are increasingly looking beyond traditional stock exchanges to gain early exposure to the next generation of technology leaders.
